Welcome to Artaltech.
These Terms and Conditions (“Terms”) govern your access to and use of the websites, digital platforms, applications, software, products, and services provided by Artal Systems Company ( شركة نظم أرتال ), operating under the brand name Artaltech (“Artaltech,” “we,” “us,” or “our”), including CEIVEX and other technology solutions offered by Artaltech (collectively, the “Services”).
By accessing or using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
If you or the organization you represent has entered into a separate written agreement, order form, subscription agreement, service agreement, or other commercial agreement with Artaltech governing specific Services, that agreement will govern those Services and will prevail over these Terms to the extent of any conflict.
1. About Artaltech
Artaltech is the technology brand operated by Artal Systems Company (شركة نظم أرتال), Kingdom of Saudi Arabia.
Artaltech provides technology solutions and digital platforms, including fleet management, telematics, connected mobility, Internet of Things (IoT), location-based technologies, data analytics, and related products and services.
Certain Services are provided through Artaltech products, platforms, and solutions, including CEIVEX.
2. Eligibility and Authority
You may use the Services only if you have the legal capacity and authority to do so.
If you access or use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3. Accounts and Security
Certain Services may require registration or creation of an account.
You are responsible for maintaining the confidentiality and security of your account credentials and for activities performed through your account.
You must provide accurate and current information and promptly notify Artaltech of any known or suspected unauthorized access, security breach, credential compromise, or misuse of your account.
Artaltech may implement authentication, access controls, security policies, and other protective measures and may require users to comply with such measures as a condition of access to the Services.
4. Permitted Use
You may use the Services only for lawful and authorized purposes and in accordance with these Terms, applicable documentation, applicable agreements, and all applicable laws and regulations.
You are responsible for ensuring that your use of the Services, including the collection, monitoring, transmission, and use of information relating to connected devices, vehicles, assets, and individuals, is lawful and appropriately authorized.
5. Prohibited Use
You must not :
- Copy, modify, reproduce, distribute, sublicense, sell, rent, lease, or commercially exploit the Services except as expressly authorized by Artaltech;
- Reverse engineer, decompile, disassemble, decode, or attempt to derive source code, algorithms, architecture, or underlying technology except where such restriction is prohibited by applicable law;
- Circumvent, disable, interfere with, or attempt to defeat authentication, security, access controls, technical restrictions, or protective mechanisms;
- Introduce malware, malicious code, viruses, or other harmful technology;
- Attempt to gain unauthorized access to any account, device, system, network, infrastructure, or data;
- Scrape, extract, harvest, or systematically collect information from the Services through automated means except where expressly authorized;
- Interfere with, overload, disrupt, damage, or impair the operation, availability, integrity, or security of the Services;
- Use the Services in a manner that infringes intellectual property, privacy, confidentiality, or other rights of Artaltech or any third party; or
- Use the Services for fraudulent, unlawful, abusive, harmful, or otherwise prohibited activities.
6. CEIVEX and Connected Services
CEIVEX and certain other Artaltech Services provide functionality relating to fleet management, vehicle and asset tracking, GPS/GNSS positioning, telematics, IoT devices, sensors, trips, routes, alerts, analytics, reporting, integrations, and connected mobility.
The availability, accuracy, and timeliness of certain functionality may depend on factors outside Artaltech’s reasonable control, including satellite positioning, telecommunications networks, mobile coverage, internet connectivity, third-party infrastructure, mapping services, hardware, sensors, connected devices, environmental conditions, and external data sources.
Accordingly, location, telemetry, alerts, routes, reports, sensor information, or other data may occasionally be delayed, unavailable, incomplete, or inaccurate.
Unless expressly agreed otherwise in writing, the Services are intended to support operational and business decision-making and are not designed or intended to serve as the sole system for emergency response, life-safety, medical, public-safety, or other safety-critical decisions.
7. Customer and User Responsibilities
Customers and users are responsible for ensuring that their access to and use of the Services is lawful, authorized, and compliant with applicable laws and regulations.
Where the Services are used in connection with employees, drivers, contractors, customers, passengers, or other individuals, the relevant customer is responsible for providing any legally required notices and obtaining any permissions, authorizations, or consents required under applicable law.
Customers are responsible for the accuracy, legality, quality, and appropriate use of information, instructions, and content they submit to or process through the Services and for ensuring that they possess the necessary rights and lawful basis to provide and process such information.
8. Intellectual Property Rights
The Services and all associated software, technology, source and object code, architecture, algorithms, interfaces, databases, designs, documentation, graphics, content, trademarks, trade names, logos, product identities, and other intellectual property are owned by or licensed to Artaltech and are protected by applicable intellectual property laws.
Except for the limited rights expressly granted under these Terms or a separate written agreement, no right, title, ownership interest, license, or intellectual property right in the Services or Artaltech technology is transferred to any user or customer.
The names Artaltech, CEIVEX, their respective logos, branding, product identities, and associated intellectual property may not be copied, reproduced, modified, or used without appropriate prior authorization.
9. Customer Data
As between Artaltech and its customers, customers retain their applicable rights in data they lawfully provide to or generate through the Services, subject to applicable law and contractual agreements.
Depending on the relevant processing activity, Artaltech may act as a controller of certain personal data or as a processor processing personal data on behalf of a customer.
Artaltech may process customer data only as reasonably necessary to provide, operate, maintain, secure, support, and improve the Services, fulfill applicable contractual obligations, and comply with applicable legal and regulatory requirements, subject to the applicable Privacy Policy and contractual terms.
10. Privacy and Data Protection
Artaltech respects privacy and is committed to handling personal data responsibly, securely, and transparently.
Personal data is processed in accordance with applicable data protection and privacy laws and regulations, including the Personal Data Protection Law of the Kingdom of Saudi Arabia (PDPL) where applicable.
Our collection, use, processing, storage, disclosure, and protection of personal data are further described in the Artaltech Privacy Policy, which should be read together with these Terms.
Where Artaltech processes personal data on behalf of a customer, additional data-processing terms or agreements may apply.
11. Third-Party Services and Integrations
The Services may interact with, integrate with, rely upon, or contain functionality provided by third parties, including telecommunications providers, mapping and geolocation services, cloud infrastructure providers, hardware manufacturers, payment providers, APIs, connectivity providers, and other technology providers.
Third-party products and services may be governed by their own terms, privacy policies, service levels, and availability commitments.
To the extent permitted by applicable law, Artaltech is not responsible for failures, interruptions, inaccuracies, changes, acts, omissions, or availability of independent third-party services or infrastructure outside Artaltech’s reasonable control.
12. Service Availability and Evolution
Artaltech continually develops, enhances, and improves its technology, platforms, products, and Services.
Artaltech may enhance, update, modify, replace, or discontinue features, interfaces, integrations, infrastructure, technologies, or components of the Services where reasonably necessary for technical, security, regulatory, operational, compatibility, or product-development reasons.
Artaltech may perform scheduled or emergency maintenance and may temporarily restrict or interrupt access where reasonably necessary to maintain the security, integrity, reliability, or availability of the Services.
Where commercially reasonable, Artaltech will seek to minimize material disruption to customers.
13. Fees and Commercial Terms
Certain Services may require subscription fees, licensing fees, activation charges, hardware purchases, connectivity charges, implementation fees, or other payments.
Prices, billing arrangements, payment terms, subscription periods, renewals, service levels, warranties, service credits, cancellation rights, and other commercial terms will be governed by the applicable quotation, order form, subscription plan, service agreement, or other written commercial agreement.
Nothing in these Terms modifies commercial terms expressly agreed between Artaltech and a customer in a separate written agreement.
14. Suspension and Termination
Artaltech may suspend, restrict, or terminate access to all or part of the Services where reasonably necessary to:
- Protect the security, integrity, availability, or reliability of the Services;
- Prevent or investigate fraud, misuse, abuse, or unauthorized access;
- Address a material violation of these Terms;
- Comply with applicable law, regulation, court order, or lawful governmental or regulatory requirement; or
- Protect Artaltech, its customers, users, systems, infrastructure, or third parties from material harm.
For paid Services, additional suspension and termination rights may be governed by the applicable commercial agreement.
Upon termination of a user’s right to access a Service, the user must cease using the affected Service, subject to any rights and obligations that survive termination under applicable law or agreement.
15. Disclaimers
Artaltech aims to provide secure, reliable, and high-quality Services.
However, except as expressly provided in a separate written agreement or required by applicable law, the Services are provided on an “as available” basis.
Artaltech does not warrant that every Service will operate uninterrupted, error-free, or continuously available, particularly where performance depends on telecommunications networks, satellite positioning, internet connectivity, third-party infrastructure, external services, hardware, devices, sensors, or circumstances outside Artaltech’s reasonable control.
Nothing in these Terms excludes or limits any warranty, statutory right, or legal obligation that cannot lawfully be excluded or limited.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Artaltech will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages or losses, including loss of profits, revenue, anticipated savings, business opportunities, goodwill, or data arising out of or relating to access to or use of the Services.
Artaltech will not be responsible for losses caused solely by events or systems outside its reasonable control, including failures of telecommunications networks, satellite positioning systems, internet connectivity, third-party infrastructure, external services, or customer-controlled devices, except to the extent liability cannot lawfully be excluded.
For paid Services, the allocation and limitation of liability between Artaltech and the relevant customer may be further governed by the applicable written commercial agreement.
Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.
17. Confidentiality
Users and customers who receive confidential, proprietary, technical, security-related, or non-public information relating to Artaltech, CEIVEX, their technology, systems, operations, customers, or business must protect such information and must not disclose or use it except as authorized, contractually permitted, or required by applicable law.
Any additional confidentiality obligations contained in a separate written agreement remain unaffected.
18. Compliance with Laws
Users and customers must comply with all laws and regulations applicable to their access to and use of the Services.
Artaltech may take reasonable measures necessary to comply with applicable legal, regulatory, governmental, cybersecurity, data-protection, telecommunications, and other requirements.
Where electronic commerce or electronic transactions are conducted through the Services, applicable laws and regulations of the Kingdom of Saudi Arabia will apply as appropriate.
19. Electronic Communications
By interacting with Artaltech electronically, you acknowledge that notices, communications, records, and other information may be provided electronically where permitted by applicable law and applicable agreements.
Electronic communications and transactions will be handled in accordance with applicable laws and regulations.
20. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.
Unless otherwise agreed in writing, any dispute arising out of or relating to these Terms shall be subject to the jurisdiction of the competent courts of the Kingdom of Saudi Arabia.
Where a separate written agreement provides a different valid dispute-resolution mechanism, venue, or jurisdiction, the provisions of that agreement will govern the relevant contractual relationship.
21. Changes to These Terms
Artaltech may update these Terms from time to time to reflect changes in the Services, technology, business practices, or applicable legal and regulatory requirements.
The updated Terms will be published on this page together with a revised “Last Updated” date.
Where required by applicable law or contractual obligations, appropriate notice of material changes will be provided.
22. Severability
If any provision of these Terms is determined by a competent authority to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.
23. No Waiver
Any failure or delay by Artaltech to exercise or enforce a right or remedy under these Terms will not constitute a waiver of that right or remedy.
A waiver will be effective only where made in accordance with applicable law and will not constitute a continuing waiver unless expressly stated.
24. Entire Terms and Order of Precedence
These Terms, together with the Artaltech Privacy Policy and any additional terms expressly applicable to particular Services, govern general access to and use of Artaltech’s websites and Services.
For customers purchasing, subscribing to, licensing, or otherwise receiving paid Services, the applicable service agreement, subscription agreement, order form, quotation, or other written commercial agreement forms part of the contractual framework governing those Services.
In the event of any conflict or inconsistency, a separately executed written agreement between Artaltech and the relevant customer will prevail over these Terms with respect to the Services covered by that agreement.
